1. Acceptance of Terms

These Terms and Conditions ("Terms") govern the access and use of GordianLattice (accessible at https://gordianlattice.com), a cloud-based Software-as-a-Service (SaaS) platform owned and operated by Gordian1729 Technologies ("We", "Us", or "Our").

By registering an organization workspace, accessing the platform, or selecting a commercial subscription plan, you ("User", "Customer", or "Subscriber") agree to be legally bound by these Terms. If you are registering on behalf of a company or organization, you represent that you have the requisite authority to bind that entity to these Terms.

2. Service Description & 1-Year Annual Subscription Model

GordianLattice provides project intelligence tools, Kanban & Scrum boards, automated timesheet logging, team bandwidth planning, OKR management, and related capabilities.

1-Year Annual Subscription Term: Commercial tiers on GordianLattice are offered on an upfront annual subscription basis (valid for 365 calendar days / 1 year) upon plan selection. Once a paid plan is selected and activated, the workspace is entitled to all selected tier capabilities for the full 1-year duration.
  • Forever Free Tier: Includes up to 7 active users and 2 active projects with zero expiration.
  • Commercial Tiers (Gold, Platinum): Provide expanded user quotas, multi-admin capabilities, REST API access, and advanced timesheet analytics, billed upfront on an annual (1-year) basis.
  • Modules (Add-ons): Sales & CRM "SalesPipeline" and Procurement & AP "Vendor" are add-on modules. Each module, when subscribed, is charged at a flat annual rate on top of the base plan price.

3. Pricing & Payment Processing

All subscription fees are stated and charged in Indian Rupees (INR ₹) inclusive of applicable taxes unless specified otherwise.

  • Upfront Billing: Annual subscription fees must be paid in advance via our authorized payment partner to activate or renew the 1-year service period.
  • Secure Payment Gateway: Online payments are processed through Razorpay (UPI, Cards, NetBanking). GordianLattice does not store your credit/debit card numbers, CVVs, or online banking passwords on our servers.
  • Price Revisions: We reserve the right to modify subscription pricing for upcoming renewal cycles. Existing active 1-year subscriptions will remain unaffected until their 1-year expiry.
  • Plan Pricing (current): Free ₹0, Gold ₹2,729/yr, Platinum ₹7,729/yr. GST compliant quotes/invoices are issued as applicable (18% compliant as required).

4. Account Governance & Acceptable Use

As a user or company administrator on GordianLattice, you agree to:

  • Provide accurate, current, and complete registration information for your organization.
  • Safeguard all account credentials, OTPs, and API tokens generated through the platform.
  • Refrain from uploading harmful code, malicious files, or defamatory material.
  • Comply with all applicable data protection laws regarding personal employee information entered into timesheets or user directories.

5. Subscription Term, Renewal & Expiration

Subscription term is 365 days (1 year). Renewal window: 30 days prior to expiry. Grace period: 14 days after expiry before the workspace is moved to read-only state. Subscribers may choose not to renew their 1-year subscription at any time prior to the annual expiration date.

Upon non-renewal or cancellation, the workspace remains fully accessible with paid features until the conclusion of the active 1-year prepaid term. After expiration and grace period, the workspace reverts to read-only and/or the applicable free state without deleting project or timesheet data. 6. Intellectual Property Rights

All intellectual property rights, trademarks, software code, UI designs, and algorithms comprising GordianLattice are the exclusive property of Gordian1729 Technologies. Your annual subscription grants you a non-exclusive, non-transferable, revocable right to access and use the platform for your organization's internal business purposes.

7. Limitation of Liability & Disclaimers

GordianLattice is provided on an "as is" and "as available" basis. While we strive for high uptime, we shall not be liable for indirect, incidental, punitive, or consequential damages resulting from scheduled maintenance, internet outages, or third-party service failures. In any event, our aggregate liability shall not exceed the subscription fees paid by you for the active 1-year term.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
